To document the condition of the property and the scope and completion of the services provided, Heidi's personnel may take photographs and/or video recordings of the areas being serviced before, during, and/or after a scheduled service.
These recordings may be used for legitimate business purposes, including documenting pre-existing conditions, verifying the condition of the property before and after service, quality control, training, internal review, service dispute resolution, incident investigation, and protection of Heidi's interests.
Heidi's will take reasonable measures to protect the privacy of Clients, occupants, employees, and other individuals who may be present at the property. TERMS & CONDITIONS
Effective Date: April 1, 2026
(Latest version 08/08/2026).1. Acceptance of Terms
By requesting, scheduling, booking, or receiving cleaning or maintenance services from Heidi's Commercial Cleaning Inc. ("Heidi's," "we," "us," or "our"), the customer ("Client," "you," or "your") acknowledges that they have read, understood, and agreed to these Terms & Conditions.
These Terms & Conditions apply to all residential and commercial cleaning and maintenance services provided by Heidi's, whether scheduled through our website, by phone, by text message, by email, through a third-party platform, or through any other communication method.
By proceeding with a scheduled service, the Client agrees to comply with these Terms & Conditions, as well as any service-specific terms, estimates, proposals, service agreements, or other written agreements provided by Heidi's.
If there is a conflict between these Terms & Conditions and a separately signed Service Agreement or written agreement, the terms of the signed agreement will control to the extent of the conflict.
Heidi's reserves the right to update or modify these Terms & Conditions from time to time. Any changes will apply to services scheduled or provided after the effective date of the updated terms. The current version will be made available on Heidi's website.
If the Client does not agree to these Terms & Conditions, the Client should not schedule or proceed with services from Heidi's.
2. Service Scope & Property ConditionsHeidi's provides cleaning and maintenance services based on the scope of work, service type, property information, and conditions communicated by the Client at the time of booking.
Service times, pricing, and the scope of work may be based on information provided by the Client regarding the property's size, condition, number of rooms, occupancy, level of soiling, and requested services.
The Client is responsible for providing accurate and complete information about the property and the services requested. If the actual condition, size, layout, level of soiling, or other circumstances at the property materially differ from the information provided at the time of booking, Heidi's may, at its discretion:
Adjust the estimated service time;
Adjust the price or applicable service rate;
Add additional services or charges with the Client's approval when reasonably practicable;
Modify the scope of work to reflect the actual conditions; or
Decline, postpone, or reschedule the service if the conditions prevent Heidi's from safely or reasonably completing the requested work.
Heidi's does not guarantee that every area or item will be cleaned if it requires services, equipment, products, time, or specialized treatment beyond the agreed scope of work.
Certain conditions, including excessive accumulation of dirt, grease, debris, clutter, pet-related conditions, mold, biohazards, hazardous materials, pest infestations, construction debris, or other extraordinary conditions, may require additional time, specialized services, or may be outside the standard scope of cleaning services.
3. Access to the PropertyThe Client is responsible for providing Heidi's with safe and timely access to the property at the scheduled service time.
The Client must ensure that the cleaning team can enter the property and access the areas included in the scheduled service. This may include providing keys, access codes, gate codes, garage access, lockbox information, or other necessary instructions in advance.
The Client is also responsible for ensuring that the property has reasonable access to the areas that are to be serviced.
If the cleaning team is unable to access the property or is delayed because the Client has not provided appropriate access, Heidi's may charge applicable cancellation, lockout, waiting-time, or other fees, or may reschedule the service.
Heidi's is not responsible for delays, incomplete services, or missed services resulting from the Client's failure to provide timely and appropriate access.
For recurring services, the Client is responsible for maintaining accurate access information and notifying Heidi's promptly of any changes to keys, codes, gates, security systems, or access procedures.
4. Payments, Late Fees & CollectionsPayment for services is due upon receipt of the invoice, unless otherwise agreed to in a written Service Agreement or other written arrangement with Heidi's.
If payment remains unpaid for more than three (3) days after the invoice date, Heidi's may assess a $25 late fee.
In addition to the late fee, outstanding balances may accrue interest at a rate of 1.5% per month (18% annually), or the maximum amount permitted by applicable law, whichever is lower.
The Client is responsible for all outstanding balances associated with services provided, including applicable fees and charges authorized under these Terms & Conditions or a separate written agreement.
Heidi's reserves the right to suspend, postpone, or refuse future services while an account has an outstanding or delinquent balance.
Heidi's may pursue reasonable collection efforts for unpaid balances. The Client may also be responsible for reasonable collection costs and expenses to the extent permitted by applicable law.
Any payment arrangement, discount, credit, or settlement offered by Heidi's applies only to the specific balance and terms expressly agreed upon and does not automatically modify the Client's ongoing payment obligations.
5. Cancellations & ReschedulingClients may cancel or reschedule services at no cost by providing at least twenty-four (24) hours' notice prior to the scheduled appointment.
Cancellations or rescheduling requests made less than twenty-four (24) hours before the scheduled service time, or on the same day as the scheduled service, will be subject to a $50 late cancellation fee.
The cancellation fee must be paid in full before any future services can be scheduled or provided.
Heidi's reserves the right to refuse or suspend service to clients with outstanding cancellation fees.
Repeated cancellations, rescheduling requests, or failure to provide reasonable notice may result in Heidi's requiring additional scheduling conditions, deposits, or other arrangements before future services are confirmed.
6. Pricing & Rate AdjustmentsPrices and service rates are based on the information available at the time the service is scheduled and may vary depending on the type of service, property size and condition, requested scope of work, service frequency, labor requirements, and other applicable factors.
Heidi's reserves the right to adjust pricing when the actual conditions of the property or requested scope of work materially differ from the information originally provided by the Client.
For recurring services, pricing may be reviewed and adjusted from time to time based on changes in labor costs, operating expenses, service requirements, property conditions, frequency, or other business-related factors.
Any price adjustment applicable to future services will be communicated to the Client when reasonably practicable before the adjusted service is performed.
A price provided for one service, estimate, or appointment does not necessarily establish a permanent price for future services unless expressly stated in a written agreement.
Additional work requested by the Client outside the original scope of service may result in additional charges. When reasonably practicable, Heidi's will communicate the additional cost before performing the additional work.
7. Service Quality Concerns & Property Damage ClaimsHeidi's strives to provide professional, thorough, and satisfactory cleaning and maintenance services. If the Client has any concern regarding the quality, completeness, condition, or performance of the services provided, the Client must notify Heidi's within twenty-four (24) hours of service completion.
Any claim alleging damage to the Client's property, belongings, fixtures, surfaces, or other items that the Client believes was caused by Heidi's or its personnel must also be reported within twenty-four (24) hours of service completion.
The Client should provide a clear description of the concern and, when applicable, photographs, videos, or other documentation that may assist Heidi's in reviewing the matter.
If a concern or claim is not reported within the twenty-four (24) hour reporting period, the services will be considered accepted as completed and satisfactory, and Heidi's reserves the right to decline or deny the complaint or claim based on the late notice.
Heidi's may, at its discretion, request an opportunity to inspect the affected area or property before determining whether corrective action, a re-cleaning, credit, refund, or other resolution is appropriate.
If Heidi's determines that a service-quality concern resulted from an issue within the agreed scope of service and can reasonably be corrected, Heidi's may, at its discretion, offer a reasonable opportunity to address the concern.
The Client agrees not to independently repair, alter, replace, discard, or otherwise modify an item allegedly damaged by Heidi's before Heidi's has had a reasonable opportunity to inspect the item, except when immediate action is reasonably necessary to prevent further damage or protect persons or property.
Nothing in this section is intended to waive or limit any rights or remedies that cannot legally be waived or limited under applicable California law.
8. Client Responsibilities & SafetyThe Client is responsible for providing a reasonably safe environment for Heidi's employees, contractors, and service personnel.
Before the scheduled service, the Client should remove or secure personal belongings, fragile items, valuables, cash, jewelry, important documents, and other items that may be damaged, misplaced, or interfere with the performance of the services.
The Client is responsible for notifying Heidi's in advance of any known conditions that may present a safety risk or require special handling, including but not limited to hazardous materials, biohazards, aggressive animals, pest infestations, structural hazards, unsafe surfaces, exposed wiring, excessive clutter, or other dangerous conditions.
Heidi's may decline to perform any portion of a service if, in its reasonable judgment, the conditions present an unsafe or unreasonable risk to its personnel or prevent the work from being performed properly.
The Client is responsible for securing pets and animals when reasonably necessary to allow the cleaning team to safely perform the service.
Heidi's is not responsible for damage to items that were not reasonably disclosed, secured, or identified by the Client when the nature, condition, fragility, or location of the item created a foreseeable risk of damage.
The Client agrees to provide access to working utilities reasonably necessary to perform the agreed services, including electricity, water, and appropriate lighting where required.
If unsafe or materially unsuitable conditions prevent Heidi's from performing the scheduled service, Heidi's may stop, modify, postpone, reschedule, or decline the service and may apply applicable fees in accordance with these Terms & Conditions.
9. Limitation of LiabilityHeidi's will use reasonable care and commercially reasonable practices when providing cleaning and maintenance services. However, cleaning and maintenance activities may involve contact with surfaces, materials, fixtures, furnishings, appliances, flooring, finishes, and other property that may be susceptible to damage due to age, wear, improper installation, pre-existing conditions, deterioration, manufacturer defects, improper maintenance, or other circumstances outside Heidi's reasonable control.
Heidi's will not be responsible for damage that results from pre-existing conditions, ordinary wear and tear, defective or improperly installed materials, conditions not disclosed by the Client, or circumstances that could not reasonably have been identified or prevented through the ordinary provision of the agreed services.
To the maximum extent permitted by applicable law, Heidi's shall not be liable for indirect, incidental, special, consequential, or punitive damages arising from or related to the services.
Nothing in these Terms & Conditions shall exclude or limit liability to the extent such liability cannot legally be excluded or limited under applicable California law.
10. Right to Refuse, Suspend, or Terminate ServiceHeidi's reserves the right to refuse, suspend, postpone, modify, or terminate services when reasonably necessary to protect its personnel, clients, property, or business operations.
Circumstances that may result in refusal, suspension, postponement, or termination of service include, but are not limited to:
Unsafe or hazardous working conditions;
Threatening, abusive, harassing, discriminatory, or inappropriate behavior toward Heidi's personnel;
Aggressive or uncontrolled animals;
Conditions that require specialized services or equipment not included in the agreed scope;

Failure to provide required property access;
Repeated cancellations, lockouts, or failure to provide reasonable notice;
Non-payment or delinquent account balances;
Requests to perform services outside Heidi's agreed scope or contrary to applicable laws, safety requirements, or company policies.
If a service is stopped or declined due to circumstances outside Heidi's reasonable control or due to conditions caused by the Client, applicable charges may still apply in accordance with these Terms & Conditions and any applicable Service Agreement.
Heidi's may require specific conditions to be satisfied before agreeing to provide future services.
11. Non-Solicitation of Heidi's PersonnelDuring the period in which the Client receives services from Heidi's and for a period of twenty-four (24) months following the Client's last service, the Client agrees not to directly or indirectly solicit, recruit, hire, engage, employ, contract with, or otherwise retain any Heidi's employee, cleaner, contractor, or other service personnel introduced to the Client through Heidi's.
This restriction applies whether the engagement is made directly by the Client or indirectly through another person, company, agency, contractor, or other third party for the purpose of providing services substantially similar to those provided by Heidi's.
If the Client wishes to engage a Heidi's employee or service professional independently, the Client must first obtain written authorization from Heidi's.
A violation of this provision may result in a contractual fee or other remedies to the maximum extent permitted by applicable law. The amount of any applicable fee will be determined in accordance with the applicable Service Agreement or other written agreement between Heidi's and the Client.
This provision is intended to protect Heidi's investment in recruiting, hiring, training, scheduling, managing, and retaining its personnel and does not prohibit any conduct that cannot legally be restricted under applicable law.

Message and data rates may apply depending on the Client's mobile carrier and service plan.
The Client may withdraw consent to receive marketing or promotional SMS messages at any time by following the opt-out instructions provided in the applicable message or by contacting Heidi's.
The Client understands that opting out of marketing communications does not necessarily prevent Heidi's from sending transactional or service-related communications that are reasonably necessary to provide, schedule, administer, or collect payment for services.
The Client is responsible for providing accurate and current contact information and for notifying Heidi's of any changes to their telephone number or email address.
13. Intellectual Property & Website ContentAll content appearing on the Heidi's website, including but not limited to text, logos, trademarks, graphics, photographs, videos, designs, service descriptions, and other materials, is owned by or licensed to Heidi's unless otherwise stated.

14. Governing Law & Dispute ResolutionThese Terms & Conditions shall be governed by and interpreted in accordance with the laws of the State of California, without regard to its conflict-of-law principles.
To the extent permitted by applicable law, any dispute arising out of or relating to the services, these Terms & Conditions, or the relationship between the Client and Heidi's shall be addressed first through good-faith communication between the parties in an effort to reach a reasonable resolution.
Nothing in these Terms & Conditions prevents either party from exercising rights or pursuing remedies that cannot legally be waived under applicable California law.
If a dispute cannot be resolved through good-faith communication, the parties may pursue any remedies available under applicable law in a court or other forum with appropriate jurisdiction.

16. Entire Agreement, Severability & WaiverThese Terms & Conditions, together with any applicable Service Agreement, proposal, estimate, written authorization, or other written agreement between Heidi's and the Client, constitute the agreement governing the services provided by Heidi's.
If any provision of these Terms & Conditions is determined to be invalid, unlawful, or unenforceable, that provision shall be modified or limited to the minimum extent necessary to make it enforceable, and the remaining provisions shall remain in full force and effect to the extent permitted by law.
A failure by Heidi's to enforce any provision of these Terms & Conditions on one occasion shall not constitute a waiver of Heidi's right to enforce that provision or any other provision in the future.
